RIDECO INC. (“RIDECO”/“WE”/”US”/“OUR”) PROVIDES THE RIDECO MOBILE APPLICATION TECHNOLOGY (THE “APP”) MADE AVAILABLE TO RIDERS AS PART OF A RIDERSHIP PROGRAM OPERATED BY A THIRD PARTY PROGRAM PROVIDER (“PROVIDER”).  THESE TERMS OF SERVICE (“AGREEMENT”) ARE SUPPLEMENTAL TO AND FORM AN INTEGRAL PART OF THE END USER AGREEMENT WHICH YOU ARE REQUIRED TO AGREE TO BY PROVIDER IN ORDER TO DOWNLOAD THE APP AND TO ACCESS AND/OR USE THE APP IN ANY WAY.  BY AGREEING TO THE PROVIDER’S END USER AGREEMENT, YOU ARE EXPRESSLY AGREEING TO THE TERMS OF THIS AGREEMENT.   IF YOU DO NOT ACCEPT ANY TERMS OF THIS AGREEMENT, THEN DO NOT ACCESS OR USE THE APP OR SERVICE OR ANY OF THEIR CONTENT OR FEATURES.

THIS AGREEMENT MAY BE AMENDED OR UPDATED BY RIDECO FROM TIME TO TIME.  IT IS YOUR RESPONSIBILITY TO REVIEW THIS AGREEMENT FOR ANY CHANGES.  YOUR USE AFTER ANY AMENDMENTS OR UPDATES OF THIS AGREEMENT SHALL SIGNIFY YOUR ASSENT TO AND ACCEPTANCE OF SUCH REVISED TERMS.

1. The Service. RideCo provides access to a software platform through the App that allows registered users to order and receive rides from independent third-party providers of transportation including drivers as part of the program offered by the Provider (the “Service”).  Collectively, transportation providers, Provider and drivers are referred to hereinto as “Operators”.  RideCo is a technology provider, not a transportation carrier and does not provide transportation or logistics services.

2. Time Estimates. The App provides estimates of times for ride pick-ups and/or drop-offs. These time estimates are provided for informational purposes only, with no implied guarantee. RideCo makes no guarantee of the actual times of the rides.

3. Conduct Guidelines. In using the App and Service you agree that you will
‍
a) provide accurate information when registering and keep such information up to date;

b) comply with all applicable laws or regulations;

c) keep your user login details secure and not share or disclose the same to any third party or authorize any third party to use the same. RideCo will not be liable for any damages caused by virtue of the compromise of your account or password, including any unauthorized access to your account, use of your password or compromise of your credit card details.  Please contact RideCo or the applicable Operator immediately if you suspect or become aware of any unauthorized use of your username or password or any other breach of security;

4. Use Restrictions. You shall not and shall not permit anyone to:

a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the App or Service or access the App or Service in order to (i) build a competitive product or service, or (ii) copy any ideas, features, functions; or (iii) advertise or promote third party products or services or your own products or services;
b) circumvent any user limits or other timing or use restrictions that are built into the Service or attempt to gain unauthorized access to parts of the Service (including its related systems or networks) which are not made available to you by RideCo including access to other users accounts;

c) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Service or unduly burdening or hindering the operation and/or functionality of any aspect of the Service;

d) intercept, examine, or otherwise observe any proprietary communications protocol used by a client, a server, or the Service, whether through the use of a network analyzer, packet sniffer, or other device;

e) resell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit or make the Service (or any of its components) available to any third party without RideCo’s prior written consent; or

f) use the Service for any unlawful purpose.

5.End User License. The App and Service and the information and materials that it contains, are the property of RideCo and its licensors, and are protected from unauthorized copying and dissemination by copyright law, trademark law, and other intellectual property laws.  Subject to the terms of this Agreement, RideCo grants you a non-transferable, non-exclusive, license to (a) use the Service for your use, and (b) download, install and use the App on a mobile device that you own or control solely for your personal use (the “License”).   The App is licensed to you and not sold.

6. Feedback. If you provide any suggestions, comments or other feedback regarding the App or Service whether through the App, via email or other means including feedback about Operators (“Feedback“), RideCo may use such Feedback freely. Accordingly, You agree that: (a) RideCo is not subject to any confidentiality obligations in respect to the Feedback, (b) the Feedback is not confidential or proprietary information of You or any third party and You have all of the necessary rights to disclose the Feedback to RideCo, (c) RideCo (including all of its successors and assigns) may freely use, reproduce, publicize, license, distribute, and otherwise commercialize Feedback , and (d) You are not entitled to receive any compensation or reimbursement of any kind from RideCo.

7. Limitation of Liability.

a) You acknowledge that the Internet is not a secure medium. Transmission of any data over the Internet, including without personal information and payment information, is vulnerable to interception. RideCo will not be responsible for any damages you or any third party may suffer as a result of the transmission of confidential information that you make available through the Internet, or that you expressly or implicitly authorize us to make, or for errors or changes made to any transmitted information.

b) The App and Service are provided ‘as is’ and RideCo makes no representation or warranty or gives any condition, either expressed, implied, statutory or otherwise, including any representation, warranty or condition that the App or Service, their contents or any features will be accurate, safe, reliable, timely, secure, error-free or uninterrupted, that defects will be corrected, that the App or Service are free of viruses or other harmful components or that they will otherwise meet your needs, requirements or expectations.  Your use of the App and/or Service is at your own risk.  In no event will RideCo be liable for damages of any kind, whether arising in contract (including breach of this Agreement), tort, negligence or under any other legal theory, arising out of or in connection with your use, or inability to use or access the App or Service.

c) RideCo is not responsible for: (i) the actions, inactions, errors, omissions, representations, warranties, breaches or negligence of any Operator or other users of the Service or for any personal injuries, death, property damage, or other damages of expenses resulting therefrom;  or (ii) unavailability of the App or Service at any time or failure to provide the App or Service or to meet any of our obligations under this Agreement where such delay, cancellation or failure is due to events beyond our control including but not limited to network failure, internet delays, acts of any government or authority, acts of nature, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, explosions, acts of God, war, governmental actions or non-performance of third parties).  

d) The foregoing does not limit or exclude any liability which cannot be excluded or limited under applicable law.
